NAES Sponsorship/Exhibitor Agreement

Please review and agree to all terms below.
  • In exchange for the benefits to be provided by the National Association of Episcopal Schools (“NAES” or the “Association”) to the undersigned Biennial Conference Sponsor (“Sponsor”), the undersigned Sponsor hereby agrees as follows:
  • The term “Event” refers to the National Association of Episcopal Schools’ Biennial Conference 2026. The Event is owned, produced, and managed by the National Association of Episcopal Schools, Inc. (“NAES”).
  • The term “Event facility” refers to the JW Marriott Los Angeles L.A. LIVE, 900 W Olympic Blvd, Los Angeles, CA 90015. NAES reserves the right at all times to modify any floor plan at its sole discretion.
  • The Event is an in-person conference that will require travel to and accommodations at the Event facility, and direct interaction with other conference attendees. Attendees, including sponsors and exhibitors, will agree to follow the COVID-19 guidelines set forth by the Centers for Disease Control and Prevention (CDC), in addition to any state, local, or federal mandates or any other COVID-19 policies required by the Event facility.
  • The receipt by NAES of this completed and signed Biennial Conference 2026 Sponsorship Agreement Form and full payment will constitute a binding contract (the “Agreement”), and the sponsorship will be considered definite. NAES reserves the right to reject any agreement for any reason. If any Sponsor changes management or is purchased by another company or organization, this Agreement becomes binding on such company or organization.
  • Following submission of this signed Agreement, an invoice for the sponsorship or tabletop display fee will be emailed by NAES to the Sponsor. Payment instructions will be included on the invoice.
  • Once this sponsorship is considered definite, it cannot be canceled and Sponsor is not entitled to any refund of any kind.
  • Sponsor will not suggest or imply, in any written or oral communication, that NAES has endorsed any of its products or services, or use NAES’s name or logo in any form.
  • When communicating with Biennial Conference 2026 attendees, Sponsor will speak accurately and comprehensively about the strengths of its own products and services and not allege weaknesses in other competitor products.
  • All NAES mailing labels or attendee lists are for one-time use only. Sponsor will furnish to NAES, in advance, the final copy of any item being sent using NAES labels or attendee lists. NAES reserves the right to deny use of labels or attendee lists.
  • If sponsorship includes a tabletop display, each display will include one skirted 6-foot table and chairs for registered representatives. Electricity and Internet access will be at the cost of the Sponsor.
  • A services kit will be sent to Sponsor and will include pertinent information regarding the Event, including additional rules and regulations, display rules, installation and dismantle schedules, registration information, official contractor order forms and pricing, shipping, utilities, building services, Internet access, and audio/visual services.
  • All Sponsors must remain within the confines of their own tabletop display space. No Sponsor will be permitted to erect signs or display products in a manner that obstructs the view or disadvantageously affects the display of other Sponsors. Tabletop exhibits deemed objectionable by NAES in its sole discretion will be prohibited.
  • Sponsor represents and warrants that any materials, demonstrations, marketing content, or communications used in connection with the Event—including at tabletop displays—will comply with NAES’s Artificial Intelligence Policy, as in effect at the time of the Event. This includes, but is not limited to, restrictions on the use of generative AI that produces misleading, low-quality, deceptive, or misattributed content. NAES reserves the right, in its sole discretion, to require modification or removal of any materials that do not comply with this policy.
  • Sponsor agrees to be bound by all rules and regulations outlined here and any additional rules, regulations, or information adopted by NAES or the Event facility, including all applicable fire, utility, building codes, facility rules, and federal, state, and local laws. Displays must comply with the Americans with Disabilities Act.
  • If sponsorship includes a tabletop, Sponsor may make sales at its display only after receiving written permission from NAES. Obtaining licenses, collecting and remitting sales taxes, and meeting legal business requirements are solely the responsibility of Sponsor.
  • By sponsoring or displaying at the Event, Sponsor grants NAES a fully paid, perpetual, non-exclusive license to use the Sponsor’s name in directories, listings, and promotional materials related to the Event.
  • This Agreement does not constitute a partnership, employer-employee relationship, joint venture, or agency between NAES and Sponsor. Sponsor agrees to indemnify and hold harmless NAES and its representatives from any liability, loss, or expense arising from Sponsor’s actions.
  • Sponsors must obtain insurance policies covering display materials and must maintain public liability, bodily injury, and property damage insurance naming NAES and the Event facility as additional insureds.
  • In no event will NAES be liable to Sponsor for any amount exceeding the display space rental fee, including for lost profits or damages related to the Event.
  • Sponsor must not damage or deface the Event facility or furniture and is responsible for the cost of any repairs resulting from such damage.
  • If the Event is canceled for any reason, this Agreement will be terminated and NAES will determine an equitable refund based on expenditures and commitments already made.
  • NAES reserves the right to revoke sponsorship or tabletop display if Sponsor violates this Agreement or is deemed inappropriate to the interests of the membership.
  • If sponsorship or display is revoked, Sponsor will not receive a refund and will not be permitted to sponsor or exhibit at the following Biennial Conference.
  • NAES has full authority to interpret and enforce all Event regulations and may require removal of any Sponsor who fails to comply, with forfeiture of all related fees and rights.
